The Office has worked in the establishment and/or negotiations for companies in various segments of the economy.
- The legal establishment of corporations: the elaboration of constitutive documents (By-laws or Articles of Incorporation), assistance in the negotiation and orientation of registration and formalities.
- Company negotiations: the elaboration of contractual documents, assistance in negotiations, conveyance, grantee and transferee responsibilities, orientation and supervision of due diligences.
- Relationship between shareholders and the relationship between the latter and the administration: minority rights, dividends and interests on capital, Statutory Audit Committee, control of power abuse, duties and responsibilities of administrators.
- Meetings of shareholders: follow-up, elaboration of drafts and minutes of convocation, registration and formalities guidance, and communication of relevant facts.
- Shareholders agreement: elaboration of instrument, negotiation assistance and registration and formalities guidance.
- Conflict amongst partners of a private limited company: recess or dissent, capital reimbursement calculation criteria, partner expulsion, dissolution of agreement.
